Terms and General Provisions

The parties have agreed that the following terms in this Agreement have the following meaning:

1. User Registration

User registration is necessary to create a Client Account through which the User will be able to create a Teleshop store.

Registration methods:

• Through email address using the page: https://my.teleshop.pro/
• Through Telegram messenger

2. Conditions for Creating Teleshop and Providing Services

2.1. Conditions for Creating Teleshop

To create a Teleshop, the Client must be the store owner or an authorized representative of the owner.

2.2. Providing Service to the Client

In case of any malfunctions that prevent the Client from receiving Service services, the Service may take all possible actions to eliminate the problems, and the Client in turn takes responsibility for timely notification of the Service when finding malfunctions and errors.

3. Service Management. Intellectual Property

The Service and its components are operated by the Provider. The Provider owns, or holds under licence, the rights in the Service and its components, including the domain teleshop.pro and its subdomains, the Service software and the Bot, to the extent necessary to supply the services under this Agreement.

4. Personal Data

The privacy policy is part of this Agreement. By registering on the Service, the Client consents to the use and processing by the Service of their personal data provided to the Service in the process of use.

5. Account Security

5.1. Client's Obligations Regarding Account Security

• The Client is personally responsible for storing login data for the Account
• The Client does not disclose their Service access data to third parties
• The Client must immediately notify the Service through @teleshop_service_bot about suspicions of unauthorized use

5.2. Possible Reasons for Account Deletion/Blocking

The Service reserves the right to delete or block the Client's Account if the Client violates any valid point of the Agreement.

7.2. Prices and Payment Terms

• The Client pays for Service services only for the period when they plan to use them
• The Service does not charge any automatic payments from the Client's bank account
• The Service may change Tariff prices 3 days after notification
• All paid funds will go to the benefit of TECH BUDDIES LTD (company number 15175545, United Kingdom). Payments in hryvnia are collected by TOV TEKHKLASTER (registration number 44959510) as payment agent on behalf of TECH BUDDIES LTD.
• Tariff prices quoted on the Service website are stated in US dollars (the "$" sign means the US dollar); any conversion is carried out by the bank that issued the Client's card at that bank's own rate, and exchange-rate differences are not reimbursed
• The currency of Payment is not chosen by the Client: where a Client was previously given a paid Tariff otherwise than through Stripe and has made no Payment through Stripe, Payments are accepted in hryvnia at the hryvnia Tariff price previously agreed with that Client
• A Payment in hryvnia made to the payment agent constitutes due discharge of the Client's monetary obligation to TECH BUDDIES LTD

8. Email Mailing

In order to notify its Clients about the operation of the Service, the Service sends emails to the email specified by the Client in the Account. By registering on the Service, the Client confirms their agreement to receive such emails from the Service.

9. Term of Agreement. Making Changes

This Agreement is considered concluded at the time of User registration on the website or in the Service's Bot and is valid until the Client's Account is deleted.

10. Governing Law and Dispute Resolution

10.1. Party to the Agreement

The party to this Agreement, the offeror and the owner of the Service is TECH BUDDIES LTD, a company incorporated in England and Wales under company number 15175545, address: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. All rights, warranties and obligations that this Agreement places on the Service belong to and are performed by TECH BUDDIES LTD; where any clause of this Agreement refers to the Service as holding a right or owing an obligation, that reference is to TECH BUDDIES LTD. This clause prevails over any other provision of this Agreement that conflicts with it. The Client and TECH BUDDIES LTD are together referred to as the "Parties" and each as a "Party". TOV TEKHKLASTER (ТОВ «ТЕХКЛАСТЕР», registration number 44959510, 13 Hlybochytska St., Kyiv, 04052, Ukraine) is not a Party to this Agreement: it collects payments in hryvnia as payment agent acting for and on behalf of TECH BUDDIES LTD.

10.2. Governing law

This Agreement (together with the Payment Terms, which form part of it) and any obligations arising out of or in connection with it, including non-contractual obligations, are governed by the law of England and Wales and construed in accordance with it. This choice of law does not displace the mandatory data protection rules that apply to the processing of the Client's personal data.

10.3. Jurisdiction

Disputes between the Parties arising out of or in connection with this Agreement, including any question as to its formation, validity, performance or termination, are subject to the jurisdiction of the courts of England and Wales. That jurisdiction is non-exclusive: either Party may apply to a competent court at the other Party's location where this is necessary to recover a debt or to enforce a judgment.

10.4. Pre-action procedure

Before bringing proceedings, the Party alleging a breach shall send the other Party a written notice of claim setting out the substance of its claim. The Client sends such a notice to TECH BUDDIES LTD through the Service's support in the telegram bot: @teleshop_service_bot — or to the address given in clause 10.1; a notice sent through the telegram bot is treated as delivered to TECH BUDDIES LTD. TECH BUDDIES LTD sends its notice to the email address the Client has specified in the Account; that email is treated as delivered to the Client. The recipient shall respond within 30 calendar days of receipt. Failure to follow this procedure does not deprive a Party of the right to bring proceedings.

10.5. Transitional provision

This version of the Agreement takes effect from the moment it is published on the Service's website. Use of the Service after that moment constitutes acceptance of this version, including by Clients who registered earlier. Payments made before this version took effect are not revised: the scope, term and price of the services already paid for remain unchanged, and disputes concerning those Payments are determined under the terms in force when the Payment was made. A price agreed with the Client before this version took effect is kept until the end of the paid period, irrespective of the Tariffs published on the Service's website.

10.6. Client as a consumer

If and to the extent that mandatory consumer protection rules of the country of the Client's habitual residence apply to the Client as an individual acting for purposes outside their trade, business or profession, clauses 10.2 and 10.3 do not deprive the Client of the protection afforded by those rules, nor limit the Client's right to bring proceedings in the courts of the country of the Client's habitual residence where those rules provide for such a right.
